Good Governance During The COVID-19 Crisis: The Role of Leadership in a Crisis, Fiduciary Duties, and Board Composition — Sara Goldsmith Schwartz, Schwartz Hannum PC

As a follow up to last year’s webinar, which explored the essential legal documents for non-profit Boards, this year’s webinar focused on the Board members themselves, and how they can work effectively – both individually and collectively – to support the mission of their organization within the legal structure of the non-profit corporation, and especially in a crisis. Topics included the role of Board members, fiduciary duties, Board composition, committees and conflicts of interest.

This expanded, interactive program also addressed the key issues facing non-profits in the COVID-19 outbreak, such as: whether Bylaws allow for remote meetings and votes; succession planning for leadership; financially supporting your organization during closure, including advancement considerations, access to the endowment, and whether the new federal laws offer meaningful financial assistance; the impact of new federal and state employment laws; the importance of focused and confident leadership during this crisis; and sharing and obtaining information with your community.
